IMAGES CONTENT LICENSE AGREEMENT
NYCEDC Rights Level is: Standard
You may use content in any way that is not restricted (see Restrictions below and Section 3 of the Standard Terms and Conditions, collectively herein “Restrictions”).
Certain Restrictions are governed by your Rights Level. Please refer to your Quote which indicates your Rights Level.
Subject to the Restrictions and the rest of this Agreement, the rights granted to you by Getty Images are:
• Perpetual, meaning there is no expiration or end date on your rights to use the content.
• Unlimited Projects, meaning content can be used an unlimited number of times. Please note that content marked editorial may only be used in an editorial manner and may not be used for any commercial, promotional, endorsement, advertising or merchandising use.
• Worldwide, meaning content can be used in any geographic territory.
• Non-Exclusive, meaning that you do not have exclusive rights to use the content. Getty Images can license the same content to other customers.
• Any and all media, meaning content can be used in print, in digital or in any other medium or format.
For purposes of this Agreement, "use" means to copy, reproduce, modify, edit, synchronize, perform, display, broadcast, publish, or otherwise make use of.
Examples of how you can use the content include: websites; blog posts; social media; advertisements; marketing campaigns; corporate presentations; newspapers; magazines; books; film and television productions; web and mobile applications; product packaging; syndication of your end use to third parties. Please note that there may be restrictions to some of these uses for RF Editorial content.
In addition to the Restrictions set out in Section 3 of the Standard Terms and Conditions, your Rights Level shall govern certain Restrictions:
Products for Resale. Unless your Rights Level includes Products for Resale rights, you may not use Content in connection with any goods or services intended for resale or distribution where the primary value lies in the content itself including, without limitation, cards, stationery items, paper products, calendars, apparel items, posters (printed on paper, canvas, or any other media), CDs, DVDs, mobile applications or other items for resale, license or other distribution for profit. This includes "on demand" products (meaning products in which Content is selected by a third party for customization on such product on a made-to-order basis), including, without limitation, postcards, mugs, t-shirts, posters and other items (this includes the sale of products through custom designed websites, as well as sites such as zazzle.com and cafepress.com).
No Electronic Templates. Unless your Rights Level includes Electronic Template rights, you may not use content in electronic or digital templates intended for resale or other distribution (for example, website templates, business card templates, electronic greeting card templates, brochure design templates).
Limited print run. Unless your Rights Level includes increased Print Run rights, you may not reproduce the content more than 500,000 times in physical print form. This restriction does not apply to electronic reproductions.
Users. An unlimited number of users from your legal entity (which may include employees and freelancers but not third-party agencies) may access your Premium Access Elite account and download content.
Sharing Rights. Your rights level defines the number of individuals that may use and share the Content amongst each other. All individuals must be from one legal entity (including employees and freelancers but not third-party agencies) and there are no restrictions on where each individual may store the content. The raw file of content may not be provided to anyone outside of your legal entity other than freelancers. Unless renewed prior to the end of your Term, all Sharing Rights terminate at

IMAGES CONTENT LICENSE AGREEMENT
The following terms and conditions apply to use of all photographs, video footage, graphics, documents, edited videos, and digital images provided under this agreement (collectively, the "Asset"). By signing this agreement below, the signatory below (hereafter, "You" or "Licensee") hereby agree to all the terms and conditions set forth herein.
GRANT OF RIGHTS NYC & Company grants its users a personal, non-transferable, nonexclusive right to the single, one-time use of each Asset obtained pursuant to this agreement for newsworthy or educational purposes only. Notwithstanding the foregoing, any copying, distribution or sale of the Asset, for whatever purpose is expressly prohibited. Any use of an Asset for purposes other than those expressly granted herein, without the prior written consent of NYC & Company, is expressly forbidden. NYC & Company hereby retains all ownership and copyright in and to the Assets, except as to the rights granted to You herein. Your right to reproduce the Assets one time does not include the right to authorize others to make any further use of any Asset. The rights granted You pursuant to this paragraph are revocable at will by NYC & Company upon written notice. The Assets are provided "as is." NYC & Company excludes to the fullest extent permitted by applicable law any warranty, express or implied, including, without limitation, any implied warranties of merchantability, satisfactory quality, or fitness for a particular purpose.
DERIVATIVE WORK Assets provided pursuant to this agreement may be resized, but their content shall not be distorted in any fashion. Video footage, exclusive from edited videos, may be altered and edited for context only. Video edits, graphics, and documents may not be altered, edited, or rebranded in any way without explicit prior consent from NYC & Company.
SUBJECT RELEASES NYC & Company's grants of rights in the images does not include the publicity, privacy or other rights of any persons or group of persons, or the rights to any third party trademarks depicted in such Assets. You shall bear sole responsibility for obtaining the consent of any such persons or property owners pictured or depicted in the images, as may be required by applicable federal, state or international laws.
COPYRIGHT CREDIT Unless otherwise expressly agreed to in writing by NYC & Company, all Assets must carry the following credit: © NYC & Company and/or any accompanying credit as noted by NYC & Company. For web site use, hyperlink: http://www.nycgo.com.
INDEMNIFICATION You agree to indemnify, hold harmless and defend (with counsel of NYC & Company's choice) NYC & Company, and its officers, directors, shareholders, employees and agents against any and all loss, liability, claims, suits, actions, judgments, damages, awards and other expenses (including, without limitation, reasonable attorney's fees) that they, or any of them, may incur or suffer as a result of Your reproduction, sale, distribution, offering for sale, sale, advertising, promotion or other use of the Assets provided pursuant to this agreement. You agree promptly to notify NYC & Company of any such claim. NYC & Company agrees to cooperate fully with You in Your defense of said claim, and will promptly respond to Your requests for information and assistance, all at Your sole cost and expense.
GOVERNING LAW/CHOICE OF FORUM The validity, effect and interpretation of this agreement shall be governed by the laws of the State of New York without regard to choice of law analysis. You agree to submit exclusively to the personal jurisdiction of the state and federal courts located in New York County, New York, and any courts with appellate jurisdiction therefrom, and further agree that venue in New York County is proper and convenient.

MAYORAL OFFICE OF PHOTOGRAPHY
IMAGES CONTENT LICENSE AGREEMENT
These photographs are provided by the New York City Mayoral Photography Office (MPO) for the benefit of the general public and for dissemination by members of the media. These photographs may not be manipulated in any way and may not be used in commercial materials, advertisements, emails, products or promotions that in any way suggests approval or endorsement of the City of New York or the Mayoral administration without prior consent from the Mayor’s Photo Office at PhotoOffice@cityhall.nyc.gov. Any use or reprinting of official MPO photographs must use the following credit language and style: “Photographer/Mayoral Photography Office, City of New York or NYC”, as listed at the end of each caption. In addition, MPO does not represent or warrant that photos may be used without the permission of any living person who is depicted.
